Terms of Service

These Terms of Service (“Terms”) govern your organization’s access to and use of NerionX, including the dashboard, NerionX Hub API, Brand Kit integrations, and related services (collectively, the “Platform”).

By registering, logging in, or using the Platform, you represent that you have authority to bind your pharmacy or organization and agree to these Terms.

The Platform is intended for licensed pharmacies and authorized business entities. You must provide accurate registration information and maintain current account details.

NerionX may review applications and approve or reject onboarding at its discretion. Access may be limited until your organization completes required verification steps.

You are responsible for:

• Maintaining the confidentiality of login credentials and API keys issued to your organization.
• All activity that occurs under your accounts, including actions by employees and contractors.
• Promptly notifying NerionX of unauthorized access or suspected security incidents.
• Ensuring users within your organization comply with these Terms and applicable laws.

You agree not to:

• Use the Platform for unlawful purposes or in violation of pharmaceutical, consumer protection, or data protection regulations.
• List inaccurate, misleading, or non-compliant product information.
• Attempt to probe, scan, or test the vulnerability of NerionX systems without authorization.
• Reverse engineer, copy, or resell the Platform except as expressly permitted in writing.
• Interfere with or disrupt the integrity or performance of the Platform or other customers’ use of it.
• Upload malware, spam, or content that infringes third-party intellectual property rights.

You retain ownership of your catalog data, customer order information, and other content you submit (“Customer Content”). You grant NerionX a limited license to host, process, and display Customer Content solely to operate the Platform.

You are solely responsible for the accuracy of listings, pricing, regulatory compliance of products you sell, and fulfillment of orders placed through your channels. NerionX provides infrastructure tools but does not act as the seller of your products unless explicitly stated in a separate agreement.

Use of NerionX Hub, Brand Kit, and other APIs is subject to published documentation, rate limits, and authentication requirements. You must not exceed documented limits or use APIs in ways that degrade service for others.

NerionX may modify API endpoints with reasonable notice where practicable. Deprecated features may be removed after a transition period.

Subscription fees, transaction charges, and other pricing terms are described during onboarding or in your order form. Unless otherwise stated, fees are non-refundable except where required by law.

Failure to pay applicable fees may result in suspension or termination of access.

NerionX and its licensors retain all rights in the Platform, including software, documentation, branding, and underlying technology. These Terms do not grant you ownership of NerionX intellectual property.

Feedback you provide may be used by NerionX without restriction or compensation.

Each party may receive non-public information from the other. You agree to protect NerionX confidential information and use it only as needed to use the Platform. NerionX will treat Customer Content as confidential subject to our Privacy Policy and legal obligations.

The Platform is provided “as is” and “as available”. To the fullest extent permitted by law, NerionX disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant uninterrupted or error-free operation, or that the Platform will meet all regulatory requirements applicable to your jurisdiction without your independent compliance efforts.

To the maximum extent permitted by law, NerionX will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.

NerionX’s total liability arising from or related to these Terms or the Platform will not exceed the fees paid by your organization to NerionX in the twelve (12) months preceding the event giving rise to the claim.

You will defend, indemnify, and hold harmless NerionX from claims, damages, and expenses arising from your Customer Content, your sale or fulfillment of products, your violation of these Terms, or your violation of applicable law.

Either party may terminate the agreement according to your subscription terms. NerionX may suspend or terminate access immediately for material breach, non-payment, security risk, or legal requirement.

Upon termination, your right to use the Platform ceases. Provisions that by nature should survive (including payment obligations, disclaimers, limitations of liability, and indemnity) will remain in effect.

These Terms are governed by the laws applicable in NerionX’s principal place of business, without regard to conflict-of-law principles. Disputes will be resolved in the courts of that jurisdiction unless otherwise required by mandatory local law.

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Continued use after changes become effective constitutes acceptance of the revised Terms.
